Terms of Service

1. Who we are
My Shadow Assistant is operated by Darcy Reid ("My Shadow Assistant", "we", "us"). By creating an account or using the service, you ("you", "user") agree to be bound by these Terms of Service. If you do not agree, do not use the service.
2. Acceptance and authority
Continued use of My Shadow Assistant constitutes acceptance of these terms and any updates we publish here. You confirm you are of legal age to enter into a binding contract, and — if signing up on behalf of an organization — that you have the authority to bind it.
3. The service
My Shadow Assistant is a personal payment agent. It watches sources you choose (URLs, subscriptions, calendar events, inbox signals), drafts payments, and — within rules you configure — may execute payments on your behalf. You are responsible for the rules and caps you set, and for reviewing pending drafts before they are approved.
4. Acceptable use
You agree not to:
- Use My Shadow Assistant for any unlawful purpose, fraud, or to fund illegal goods or services;
- Send spam, harass others, or infringe intellectual-property rights;
- Probe, scan, or test the security of our systems, deploy malware, or scrape the service;
- Reverse engineer, resell, or redistribute the service;
- Circumvent technical limits, rate limits, or access controls.
5. Account and credentials
You must provide accurate information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account.
6. Intellectual property
My Shadow Assistant, including its software, designs, branding, and documentation, is owned by Darcy Reid and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have subscribed to. We retain all rights not expressly granted.
7. Your content
You retain ownership of the content and data you provide to My Shadow Assistant. You grant us a limited license to host, store, and process that content solely for the purpose of providing the service to you.
8. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.
Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time from the customer portal accessible in your account settings; access continues until the end of the current period.
9. Service level and warranties
My Shadow Assistant is provided "as is" and "as available". We do not warrant that the service will be uninterrupted, error-free, or that any payment draft will succeed at a particular price or time. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is capped at the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
11. Indemnity
You agree to indemnify and hold Darcy Reid harmless from claims arising out of your content, your unlawful use of the service, or your breach of these terms.
12. Suspension and termination
We may suspend or terminate your access for: material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data within 30 days, after which it may be deleted.
13. Governing law
These terms are governed by the laws of the jurisdiction in which Darcy Reid is established. Disputes will be resolved in the competent courts of that jurisdiction.
14. Changes
We may update these terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use after changes constitutes acceptance.
